Terms of Service

Last updated: 29 May 2026

Pending legal review

These terms have been written in plain language to describe how Toolsmith works and what we expect from users. Several sections — particularly around liability and payment — will be reviewed by legal counsel before the product charges real customers. Sections requiring that review are flagged below.

1. What Toolsmith is

Toolsmith is a platform providing internal tools for SaaS revenue teams, including (but not limited to) a sales commission tracker, workflow calculators, and related operational tools. The platform is operated by [PLACEHOLDER: Legal entity name — e.g. Toolsmith Ltd].

By accessing or using gettoolsmith.com or any Toolsmith product, you agree to these terms. If you are using Toolsmith on behalf of a company, you confirm you have authority to bind that company to these terms.

2. Who may use Toolsmith

Toolsmith is intended for business use. By using the platform, you confirm that:

  • You are at least 18 years old
  • You are using the platform for a legitimate business purpose
  • The information you provide when signing up is accurate and up to date

We reserve the right to refuse access to anyone, at any time, if we believe these conditions are not met.

3. Early access and beta status

Toolsmith is currently in active development. The following apply during the early access period:

  • Features may change, be added, or be removed without prior notice
  • The platform may experience downtime or instability — availability is not guaranteed during early access
  • Pricing, feature scope, and product direction may change before the full product launches
  • We will communicate significant changes to waitlist members by email where possible

Early access is provided to help us build a better product. We appreciate your patience with the rough edges.

4. Acceptable use

You agree not to use Toolsmith to:

  • Scrape, copy, or systematically extract data from the platform without written permission
  • Attempt to gain unauthorised access to any part of the platform or another user's account
  • Use the platform for any illegal purpose or in violation of any applicable law
  • Share your account access with others or resell access to the platform
  • Introduce malware, viruses, or any harmful code
  • Use the platform in a way that could damage, disable, or impair its performance for other users

We reserve the right to suspend or terminate accounts that violate these terms, without refund.

5. Intellectual property

Toolsmith owns the platform. All software, design, content, and branding that make up Toolsmith are owned by [PLACEHOLDER: Legal entity name] or its licensors. You may not copy, reproduce, or distribute any part of the platform without written permission.

You own your data. Any data you import into Toolsmith — deal records, commission rules, rep data — remains yours. We do not claim ownership of your data. You can export it at any time and request deletion in line with our Privacy Policy.

6. Your data

How we collect, use, store, and protect personal data is described in our Privacy Policy. By using Toolsmith, you agree to the data practices described there.

7. Payment terms

[PLACEHOLDER: Toolsmith does not currently charge for access. Billing has not been activated.]

When pricing is confirmed and billing is activated, the full payment terms will be published here and communicated to users before any charges are applied. You will not be charged without clear advance notice of the pricing.

Needs legal review before launch

Payment terms including refund policy, billing cycles, and failure-to-pay consequences will be added here before billing is activated. This section requires legal review to ensure compliance with applicable consumer protection and distance selling regulations.

8. Limitation of liability

Needs legal review before launch

This section contains standard liability limitations that will be reviewed by legal counsel before the product charges customers. The placeholder language below is indicative only.

To the maximum extent permitted by applicable law, Toolsmith is provided "as is" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or fit for any particular purpose.

[PLACEHOLDER — to be reviewed by legal counsel] In no event shall [Legal entity name] be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform — including but not limited to loss of revenue, data, or business opportunity — even if we have been advised of the possibility of such damages.

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Governing law

Needs legal review before launch

The governing law jurisdiction must be confirmed based on the legal entity's country of incorporation. Likely England & Wales or France — confirm before launch.

These terms are governed by the laws of [PLACEHOLDER: England & Wales / France]. Any disputes will be subject to the exclusive jurisdiction of the courts of [PLACEHOLDER: jurisdiction].

10. Contact

For questions about these terms or to raise a dispute, contact us at: [PLACEHOLDER: e.g. legal@gettoolsmith.com or the general contact email]. Alternatively, use the contact form.
